Terms & Conditions
By engaging Key Leads Media for any services, you agree to be bound by the following Terms & Conditions. These terms constitute a legally binding agreement between you ("Client") and Key Leads Media ("Company"). By booking or making payment for our services, you acknowledge that you have read, understood, and agree to these terms.
1. Scope of Services
Key Leads Media provides services including but not limited to:
- Video production and on-location shooting
- Post-production editing and color grading
- Content distribution to social media platforms
- Podcast production and live streaming setup
- Marketing systems implementation and consulting
Specific deliverables, timelines, and pricing for each engagement will be outlined in a separate proposal or statement of work agreed upon by both parties prior to commencement.
2. Payment Terms
2.1 Invoicing & Deposits
A non-refundable deposit of fifty percent (50%) of the total project fee is required to secure your booking and begin work. The remaining balance is due upon delivery of final deliverables unless otherwise agreed in writing.
2.2 Late Payments
Invoices unpaid beyond 14 days of the due date will incur a late fee of 1.5% per month on the outstanding balance. Key Leads Media reserves the right to pause or withhold delivery of deliverables until outstanding balances are settled.
2.3 Cancellations
Cancellations made more than 7 days before a scheduled shoot date will forfeit the deposit only. Cancellations made within 7 days of the scheduled date will be billed at 75% of the total project fee. Cancellations on the day of the shoot will be billed at 100% of the total project fee.
3. Intellectual Property & Ownership
3.1 Deliverables
Upon receipt of full payment, the Client receives a non-exclusive license to use the final delivered content for personal or business purposes. Key Leads Media retains the right to display the content in its portfolio, marketing materials, and promotional efforts unless the Client requests otherwise in writing prior to project commencement.
3.2 Raw Footage
Raw, unedited footage remains the exclusive property of Key Leads Media and is not included in deliverables unless explicitly agreed upon in the project proposal and may be subject to additional fees.
3.3 Third-Party Materials
The Client is responsible for obtaining all necessary rights, licenses, and permissions for any third-party content, music, logos, or materials they provide or request to be incorporated. Key Leads Media is not liable for copyright infringement arising from Client-provided materials.
4. Client Responsibilities
The Client agrees to:
- Provide accurate and complete information necessary to complete the project
- Provide timely feedback and approvals within agreed-upon timelines
- Ensure all necessary permissions are obtained for shoot locations
- Ensure all individuals appearing in content have provided appropriate consent
- Communicate any changes to project scope in writing prior to additional work commencing
Delays caused by the Client's failure to fulfill these responsibilities may result in revised timelines and additional fees.
5. Revisions & Edits
Each project includes a defined number of revision rounds as outlined in the project proposal. Additional revisions beyond the agreed limit will be billed at our standard hourly rate. Requests constituting a change in scope will require a revised proposal and additional fees.
6. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation survives the termination of the agreement. Key Leads Media will not disclose Client business information to third parties without prior written consent, except as required by law.
7. Limitation of Liability
Key Leads Media's total liability for any claim shall not exceed the total fees paid by the Client for the specific project giving rise to the claim. Key Leads Media is not liable for:
- Indirect, incidental, or consequential damages
- Loss of revenue, profits, or business opportunities
- Equipment failure by third parties or circumstances beyond our control
- Content performance or results on any platform or channel
8. Dispute Resolution
In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If resolution cannot be reached within 30 days, disputes will be submitted to binding arbitration in Broward County, Florida, in accordance with the rules of the American Arbitration Association. The prevailing party shall be entitled to recover reasonable attorney's fees and costs.
9. Governing Law
These Terms & Conditions are governed by the laws of the State of Florida, without regard to its conflict of law provisions.
10. Modifications to Terms
Key Leads Media reserves the right to update these Terms & Conditions at any time. Clients will be notified of material changes via email or website posting. Continued engagement with our services following notification constitutes acceptance of the revised terms.
11. Entire Agreement
These Terms & Conditions, together with any applicable project proposal or statement of work, constitute the entire agreement between the parties and supersede all prior discussions, representations, and agreements.
